On June 9th, Sarah Goodman of Offit Kurman joined us for an incredible session on Compliance Without Chaos. Sarah brought years of legal expertise supporting nonprofits to the conversation, and walked through the practical structures every organization needs to stay protected and operate with confidence.

In just half an hour, Sarah and Deena walked through areas of compliance every nonprofit leader should have in place:

  • Governance and Oversight – building a board compliance dashboard, keeping IRS filings current, conducting annual board training, and using independent committees to strengthen accountability.
  • Policies and Documentation – maintaining a living policy framework that includes conflict of interest, whistleblower, code of ethics, and gift acceptance, plus a yearly acknowledgment system and a clear delegation of authority matrix.
  • Financial and Fundraising Compliance – tracking donor restrictions accurately, auditing your fundraising registrations state by state, and benchmarking executive compensation to ensure it holds up under review.
  • Data Privacy and Risk Management – establishing a cybersecurity policy with a breach response plan, building an incident reporting playbook, and carrying cyber insurance to match your exposure.
  • Contracts and Audit Readiness – using clear at-will language in employee agreements, requiring NDAs and proof of insurance from contractors, having vendor contracts reviewed before signing, and staying ready for IRS or Department of Labor audits at any time.
